APPROVED CONTENT: LICENCE TERMS AND CONDITIONS

These terms and conditions cover the use of the content posted by you on social media, by English Riviera BID Company Ltd in its marketing campaigns and other types of brand promotion.

1. What these Terms cover

1.1 These terms and conditions ("these Terms") cover the use by English Riviera BID Company Ltd  ("we" or "us") of the content posted by you on social media ("the Content") in its marketing campaigns and other types of brand promotion.

1.2 Please read these Terms carefully. By accepting our Terms, you are allowing English Riviera BID Company Ltd to use your content in future marketing campaigns or promotional activity.

3. Acceptance

3.1 When English Riviera BID Company Ltd is interested in using your Content, we shall request your acceptance of these Terms by commenting on the Content as posted by you on the relevant social media platform. Our request shall include a reference to these Terms.

3.2 We require a response from you to approve our use of your Content. To agree to English Riviera BID Company Ltd using your Content in accordance with these Terms, and to indicate your acceptance of these Terms, simply reply by using the hashtag specified by English Riviera BID Company Ltd.

4. Use of the Content

4.1 In consideration for the opportunity to take part in our marketing campaigns and brand promotion, you hereby grant English Riviera BID Company Ltd, its subsidiaries and its partners a perpetual, global, non-exclusive, royalty-free, assignable licence to edit, publish, adapt, exploit, modify or otherwise use the Content as part of English Riviera BID Company Ltd’s marketing campaigns and brand promotion including but not limited to on webpages and social media pages operated by the Licensed Parties, in promotional e-mails and advertisements, and in any and all other marketing, promotional and advertising initiatives, and in any media now or hereafter known.

4.2 English Riviera BID Company Ltd does not guarantee that any Content licensed pursuant to clause 4.1 ("the Content Licence") will be used as part of any marketing campaign or brand promotion.

4.3 By accepting these Terms you:

(a) waive any rights regarding approving any finished product produced by English Riviera BID Company Ltd which contains the Content;

(b) waive any rights regarding receiving any form of monetary or other compensation for our use of the Content; and

(c) acknowledge that you and anyone whose image is contained within the Content are happy for that image to be used by English Riviera BID Company Ltd as part of their marketing campaigns.

4.4 In the event that you wish to withdraw your consent for us to use the Content in accordance with the rights conferred by the licence under clause 4.1 (Content Licence) then please contact enquiries@englishrivierabid.co.uk. Please note that English Riviera BID Company Ltd will not be able to remove the Content from any already published product or finished product that English Riviera BID Company Ltd or its agents and partners have already created.

5. Data protection

5.1 English Riviera BID Company Ltd will process any personal data included in the Content for the purpose of creating and conducting marketing campaigns, or for similar marketing purposes.

5.2 Any personal information you provide to us will be handled in accordance with our privacy policy found at https://www.englishriviera.co.uk/information/data-protection-policy.

5.3 In the event that personal data of third parties is included in the Content, you shall inform each individual concerned of the fact that his/her personal data will be processed by English Riviera BID Company Ltd for the purpose as set out in these Terms, refer each individual to our privacy policy and invite the individual to read that privacy policy.

6. Your acknowledgement

6.1 By accepting these Terms you acknowledge and warranty that:

(a) the Content does not infringe on any third party’s rights (including, but not limited to, any rights of copyright, trademark, privacy or other intellectual property rights);

(b) the Content does not contain anything defamatory, obscene or otherwise unlawful;

(c) the Content does not breach, or risk being in breach of any UK law or other applicable law; and

(d) you are fully entitled to and have the legal capacity to enter into this agreement, and that you are at least 18 years old.

7. General

7.1 This contract is between you and us. No other person shall have any rights to enforce any of its Terms.

7.2 We may transfer our rights and obligations under these Terms to another organisation. We will ensure that the transfer will not affect your rights under the contract.

7.3 Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

7.4 If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

7.5 English law and the jurisdiction of the English courts will apply to these Terms and conditions, save where you live in any other part of the United Kingdom, in which case the law and courts of that place shall apply

7.6 English Riviera BID Company Ltd may notify you giving full particulars if any of the following matters come to its attention:

7.6.1 any actual, suspected or threatened infringement of the rights listed in clause 6.1;

7.6.2 any claim made or threatened that the Content infringes the rights of any third party or any other form of attack, charge or claim to which the content of these Terms and Conditions may be subject.

7.6.3 English Riviera BID Company Ltd shall at its absolute discretion decide what action to take if any and shall have exclusive control over and conduct of all claims and proceedings;

7.6.4 At no cost to English Riviera BID Company Ltd you shall provide English Riviera BID Company Ltd with all assistance reasonably required in the conduct of any claims or proceedings; 

7.6.8 English Riviera BID Company Ltd shall bear the cost of any proceedings and shall be entitled to retain all sums recovered in any action for their own account.
